All for One Group SE and VINCI Energies entered into a delisting agreement on October 15, 2026 that sets the terms for the public offer and governs the target company’s support for the process. The pact also addresses financing arrangements for All for One that build on a business combination agreement signed in July. An application will be made to revoke the admission of All for One shares to the Prime Standard segment of the Frankfurt Stock Exchange, with the delisting expected to take effect after the offer’s acceptance period closes. The bidder, VINCI Energies Deutschland Enterprise Solutions AcquiCo SE, an indirect wholly-owned subsidiary of VINCI S.A., completed its initial voluntary public takeover offer on October 13, 2026, resulting in ownership of approximately 87.33 percent of All for One shares excluding treasury shares, according to a company announcement. The new delisting offer matches the 67.50 euro cash price of the earlier bid and carries no conditions. It covers the remaining roughly 12.67 percent free float with a transaction volume of about 65 million euros, bringing the aggregate value of the deal to approximately 336 million euros. All for One Group, an international consulting, IT and services provider based in Filderstadt, Germany, will be integrated into Axians, the VINCI Energies brand dedicated to information and communication technology. Company figures show it generated 500 million euros in revenue during 2025 while employing around 3,000 people and serving more than 4,500 customers focused on the German Mittelstand together with markets in Austria, Switzerland and Poland. The reduced significance of the stock market listing after the free float fell to approximately 12.67 percent formed a central rationale for the move. Freshfields Bruckhaus Deringer is advising All for One Group on all corporate and capital markets elements of the transaction, including assistance to its boards in preparing the joint reasoned statement. Baker McKenzie advised VINCI Energies on the delisting offer for All for One Group SE. The dual mandates reflect the transaction’s complexity under German securities and takeover regulations. VINCI S.A., a CAC 40 constituent listed on Euronext Paris, maintains extensive operations in construction, concessions, energy solutions and multi-technical services. The acquisition enhances VINCI Energies’ footprint in digital transformation and IT services across Europe. Both parties have signaled that the full integration will strengthen All for One’s position as a provider of end-to-end solutions. Completion of the delisting offer is projected for December 2026, after which All for One shares will no longer trade on any regulated market. The bidder and target have outlined plans for the revocation process to begin shortly. Management and supervisory boards of All for One intend to recommend the offer subject to review of final documentation and their fiduciary duties.
