Galderma signed an agreement this month to acquire 100 percent of ZO Skin Health from shareholders including Blackstone-managed funds and the Obagi family for an enterprise value of $1.5 billion in an all-cash transaction. The Swiss dermatology company said the purchase would be funded through existing cash reserves and bank financing while remaining consistent with its commitment to an investment-grade credit rating. Galderma added that the acquisition is expected to be neutral to core earnings per share in the first full year after closing and is anticipated to close in the fourth quarter of 2026 or early 2027 subject to regulatory approvals.
Galderma’s announcement placed net sales at ZO Skin Health at approximately $330 million for the 12 months ended June 2026. The company stated that the deal would strengthen its physician-dispensed skincare offering by adding the medical-grade brand to its portfolio alongside existing products. Galderma noted that the transaction builds on a commercial collaboration the two parties established in March 2020 to expand aesthetics operations in the United States.
A statement issued by Baker McKenzie said the firm advised the lenders on an $800 million bridge financing component arranged in connection with the acquisition. The law firm reported that its counsel focused on the debt facility that supports the overall $1.5 billion purchase price. Baker McKenzie distributed the announcement through its corporate newsroom without providing further specifics on the lending group or terms beyond the bridge size.
The Galderma announcement described the acquisition as a strategic step to expand its position in aesthetic dermatology through a brand that has developed a range of physician-dispensed products over more than two decades. The company indicated that integration would allow it to apply its global commercial infrastructure to accelerate growth for the ZO line. Galderma did not release additional financial projections for the combined entity in the initial statement.
Galderma’s materials confirmed that the sellers include funds associated with Blackstone along with the Obagi family which founded the skincare company. The announcement reiterated that all elements of the transaction remain subject to customary conditions and approvals before finalization can occur. Multiple industry updates published after the initial release repeated the core financial terms and strategic rationale provided by Galderma without introducing independent data.
