An employee in the UAE may establish a new entity or become a partner or shareholder in an existing one provided the current employer issues a no-objection certificate authorising the move, Khaleej Times reported on March 31 2026. The requirement applies across sectors and aims to balance individual entrepreneurial ambitions with employer interests under updated labour regulations. Legal advisers recommend securing the NOC before proceeding with any registration or partnership steps to prevent compliance issues. Employees should also examine their contracts for any clauses that could affect the new venture.

When the planned business operates in a similar field to the employee’s current role such as an HR professional starting an HR consultancy the arrangement may implicate non-competition provisions if these appear in the signed employment contract. Federal Decree Law No. 33 of 2021 on the Regulation of Employment Relations addresses such situations in Article 10(1). The law allows employers to restrict former workers from competing only when the employee had access to customers or business secrets during their tenure.

Any non-competition clause must specify the place time and type of restricted work to the extent necessary to protect legitimate business interests according to the legislation. The non-competition period cannot exceed two years after the employment contract expires. This framework ensures restrictions remain proportionate rather than blanket prohibitions on future activity.

Parties can also agree in writing to set aside the non-competition clause once the employment relationship ends. Article 12(4) of Cabinet Resolution No. 1 of 2022 Concerning the Executive Regulations of Federal Decree Law No. 33 of 2021 explicitly permits such written agreements. The provision adds flexibility for both workers and employers navigating post-employment arrangements.

The rules form part of wider labour reforms that have sought to make the UAE more attractive for both talent and business creation. A separate Khaleej Times report from January 2023 detailed an entrepreneurship leave programme for Emirati federal government employees that grants up to one year at half pay to pursue self-employment ventures. These initiatives reflect sustained official support for expanding the small and medium enterprise sector which government statistics consistently identify as the dominant form of commercial organisation across the country.

Individuals considering such steps should review their specific contractual obligations and seek professional legal advice before moving forward with a new business. Proper preparation helps avoid disputes and supports successful dual roles under the prevailing regulatory environment. The combination of NOC requirements and narrowly drawn non-compete limits continues to shape how employees pursue side ventures while remaining in their primary positions.
