Ahlsell AB launched the all-cash public tender offer for Meier Tobler Group AG at CHF 45.50 net per share, which represents a premium of around 30.8 percent to the volume-weighted average price over the prior 60 trading days. The Swedish distributor’s announcement indicated the deal values the entire target at roughly CHF 492 million. Meier Capital AG, the main shareholder holding 58.55 percent of the shares, has committed to tender its stake along with its owner Silvan G.-R. Meier, who chairs the board. This commitment covers a substantial portion of the 80 percent minimum acceptance condition required for the transaction to proceed.
The offer follows a transaction agreement signed on November 3 between the parties, according to details released in Ahlsell’s statement. Meier Tobler Group AG, founded in 1937 and headquartered near Zurich, employs about 1,300 people and generated net revenue of CHF 497 million in 2025, with a focus on heating, ventilation, air conditioning and plumbing products. Ahlsell, a leading Nordic B2B distributor of technical and industrial goods, employs nearly 8,000 people across more than 300 branches and reported turnover of approximately SEK 52 billion last year. The acquisition would mark Ahlsell’s entry into the Swiss and broader Central European markets.
Ahlsell stated that Meier Tobler would continue operating independently within the group, with existing management retained and jobs as well as the local Swiss presence preserved. The Swedish company highlighted complementary capabilities that would strengthen offerings to professional customers in both groups while broadening its multi-vertical portfolio. Meier Tobler chief executive Roger Basler said, “I am convinced that this is the right step for our employees, customers and suppliers.” Ahlsell president and chief executive Claes Seldeby added that the move establishes a platform for further growth in an attractive market at the heart of Europe.
The board of directors of Meier Tobler unanimously recommended that shareholders accept the offer, backed by a fairness opinion from independent advisor IFBC concluding that the price is fair and appropriate from a financial perspective. Ahlsell’s announcement outlined standard conditions for the bid, including receipt of necessary competition and regulatory approvals from relevant authorities. The main offer period is set to run from November 5 through December 2, with settlement anticipated during the first quarter of 2027 if all thresholds are met.
Following successful completion, Ahlsell plans to delist Meier Tobler from the SIX Swiss Exchange while integrating its expertise into the larger group structure. The transaction aligns with Ahlsell’s stated growth strategy of geographic expansion beyond its core Nordic and Baltic operations. UBS acted as exclusive financial advisor to Ahlsell, while Bär & Karrer served as its legal counsel, according to the Swedish company’s disclosures.
Baker McKenzie advised Meier Tobler Group AG on the public tender offer by Ahlsell AB, the law firm said in its own announcement of the mandate. The engagement covered the Swiss company’s response to the bid, including board recommendations and related processes. This advisory role forms part of a series of cross-border M&A transactions in the European building technology and distribution sectors that have drawn international legal expertise in recent years.
