DocMorris AG announced the final conversion price and issue size for its new convertible bonds following a private placement launched two days earlier. The CHF 96.8 million senior unsecured instruments, issued through subsidiary DocMorris Finance B.V. and guaranteed by the parent, carry an initial conversion price of CHF 13.83. That price reflects a 32.5 percent premium over the reference share price of CHF 10.4374, which was fixed as the volume-weighted average during the bookbuilding period, according to the company’s September 11 statement.
Proceeds from the new bonds will fund the concurrent full repurchase of the outstanding CHF 49.6 million convertible bonds due in 2028, which DocMorris will then cancel. The transaction reduces the shares underlying the prior instrument from 7.6 million to 7.0 million, limiting potential equity dilution for existing shareholders. Settlement for both the issuance and the repurchase is scheduled for September 16, the company said in its corporate announcement distributed via EQS News.
The refinancing lowers the coupon from 3.0 percent on the 2028 bonds to 1.5 percent on the new notes while extending the maturity profile from 2028 to 2031 by roughly three years. It also lifts the conversion price from CHF 6.54 to CHF 13.83, capitalising on the company’s improved share price performance since the earlier issuance. DocMorris described the move as proactive balance-sheet management that supports its long-term digital health strategy.
This latest transaction builds on a comparable refinancing completed in late 2025, when the company placed approximately CHF 45 million in bonds due 2028 to retire debt maturing the following year. That earlier operation similarly aimed to strengthen the balance sheet and reduce funding costs amid expansion in prescription services and digital platforms. The current deal comes after DocMorris raised its full-year guidance in August 2026 following strong first-half results in its core segments.
Listed on the SIX Swiss Exchange, DocMorris operates as a leading online pharmacy provider across Europe with a focus on both prescription medicines and broader digital health solutions. Its shares closed at CHF 10.00 on September 11, registering a 1.77 percent decline on the day, according to exchange data. The company has maintained growth momentum despite fluctuating market conditions, positioning the refinancing as a step to reinforce financial flexibility for continued expansion.
