Mishcon de Reya Issues Guidance on Legal Risks in UAE Talent Recruitment

Mishcon de Reya LLP published an analysis on October 8, 2026, that positions the UAE as one of the world’s foremost talent hubs where attracting and retaining internationally mobile professionals has become a central priority for regional employers. The firm noted that recruiting from competitors carries substantial legal exposure, particularly around non-compete clauses, confidentiality obligations and potential claims for inducing breach of contract, with elevated risks when a hire involves an entire team. A pre-hiring risk assessment serves as the foundational safeguard before any offer is extended, according to the law firm’s recommendations.

The guidance, titled Growth & talent in the UAE: Opportunity, risk and the legal toolkit, explains that Article 10 of Federal Decree-Law No. 33 of 2021 expressly authorises non-compete provisions where an employee has access to clients, confidential information or trade secrets. Such restrictions must be carefully limited in duration, geographic scope and the type of work involved for enforceability, Mishcon de Reya LLP stated in the document. Employers should also scrutinise related obligations that may appear in incentive schemes, shareholder agreements or separate commercial contracts.

According to the firm’s assessment, a structured pre-hiring review must examine the candidate’s current employment documentation for notice periods, garden leave arrangements, solicitation bans and post-termination restrictions. The analysis further highlights the need to evaluate whether the prospective move could expose the new employer to tortious interference claims or other liabilities. Team relocations amplify these concerns and require even more rigorous due diligence, the law firm advised.

Federal Decree-Law No. 33 of 2021 and its implementing Cabinet Resolution No. 1 of 2022 govern private sector employment across most of the UAE, mandating fixed-term contracts with a maximum length of three years and a minimum 30-day notice period for all terminations. A review by the Ministry of Human Resources and Emiratisation indicates that companies employing 50 or more staff must raise their UAE national skilled workforce share by 2 percent each year, with monthly fines of AED 9,000 for each unmet quota position. These Emiratisation requirements add another layer to broader talent management strategies in a market where expatriates constitute the majority of the labour force.

Mishcon de Reya LLP emphasised that effective retention tools, including long-term incentive plans, clawback mechanisms and carefully drafted restrictive covenants, help secure key personnel after onboarding. The firm’s employment team provides counsel spanning pre-hire evaluations, move-risk management and the implementation of comprehensive reward structures tailored to the UAE environment. Such support enables businesses to navigate the intersection of opportunity and regulatory compliance in one of the region’s most competitive labour markets.

Related Practical Law resources confirm that recruitment processes must comply with anti-discrimination rules and prohibit the charging of any fees to candidates, with all recruitment costs borne by the employer. The combination of federal labour reforms and free-zone regulations in jurisdictions such as the DIFC and ADGM creates a multifaceted legal landscape that rewards early engagement with specialist advisers. Mishcon de Reya LLP’s publication concludes that organisations investing in these legal foundations will be best equipped to sustain growth through a stable, high-calibre workforce.
