Decree-Law No. 78 of 2026 defines commercial concealment as any arrangement in which a license holder or registered entity enables an unauthorized person to conduct economic activities through the use of a commercial license, trade name or registration, according to the text published in Kuwait Al-Youm and covered by Times Kuwait. The legislation aims to close loopholes that have allowed circumvention of foreign ownership restrictions and other regulatory requirements through fictitious partnerships. Times Kuwait reported that the measure builds on Article 23 of the 1980 Commercial Law while addressing modern practices that obscure beneficial ownership.

Penalties under the decree-law include imprisonment for one to three years and fines ranging from 10,000 to 100,000 dinars or the full value of any illegal profits if that sum is higher, the newspaper detailed in its analysis of the statute. Courts may impose either penalty or combine them, with fines multiplied according to the number of offenders or distinct violations involved. A separate offense for obstructing inspectors or supplying false information carries up to six months in prison and a 10,000-dinar fine or either sanction, according to the same reporting.

Conviction triggers mandatory additional measures that include confiscation of illicit proceeds, tools and equipment used in the offense, Times Kuwait stated in its summary of the law. The violating establishment must close permanently while its commercial license is canceled. Foreign nationals face administrative deportation after serving any prison term, with the final judgment subject to publication, the outlet added.

Repeat violations within five years of a final conviction result in doubled penalties, a provision designed to deter habitual offenders, according to the decree-law as outlined by Times Kuwait. Managers exercising actual control over an entity bear personal liability if they knew of the violation or failed in their oversight duties, while the company itself faces joint financial responsibility. The law protects rights of bona fide third parties during asset seizures, the coverage noted.

Businesses have until February 2027 to regularize operations during the six-month period following the law’s August 9 publication, Times Kuwait reported amid accounts of companies reviewing structures and correcting licenses. Beneficial ownership registration has topped 98 percent as the anti-concealment framework tightens, a figure cited by Acting Undersecretary of the Ministry of Commerce and Industry Marwa Al-Jaidan in remarks carried by the newspaper. The Kuwait Chamber of Commerce and Industry has flagged the need for clear executive regulations to guide implementation, the publication added.

Informants supplying credible evidence that leads to conviction may receive rewards of up to 10 percent of collected fines, according to provisions detailed in Times Kuwait’s reporting on the statute. Settlement remains available before final judgment provided offenders pay at least half the maximum fine and fully rectify their legal position. The law applies only to companies, as individual establishments remain reserved for Kuwaiti nationals under existing rules, the outlet explained.
