Bahrain Enacts Framework for Security Over Movable Assets to Widen Finance Access

Bahrain’s new Secured Transactions Law consolidates previously fragmented provisions from the Civil Code and Law of Commerce into one comprehensive framework, according to an analysis by Asar Legal.
The statute, designated Law No. 3 of 2026, recognises several transaction types such as fiduciary transfers, financial leases, receivable assignments and retention-of-title sales as functional equivalents of security rights.
It also creates an electronic Registry of Notices aligned with international standards to record and publicise these interests.

Security interests may cover future assets with the right attaching automatically upon the debtor’s acquisition of the property, Asar Legal reported.
Electronic perfection removes requirements for physical delivery or notarisation while non-possessory arrangements permit the debtor to continue using the collateral in daily operations.
The registry system enhances transparency for all parties involved in secured lending transactions.

Priority between security interests follows the sequence of registration or possession under the new rules, the legal overview stated.
Purchase-money security interests in tangible assets and inventory receive super-priority status to encourage acquisition financing.
Upon default, secured creditors can enforce their rights through out-of-court possession and sale of collateral provided the process meets a commercially reasonable standard.

Small and medium-sized enterprises stand to gain improved access to credit by pledging movable assets rather than relying solely on real estate guarantees.
Lenders benefit from reduced credit risk thanks to clearer priority rules and streamlined enforcement procedures.
The Central Bank of Bahrain figures have shown SMEs accounting for a substantial share of business activity yet facing persistent collateral-related barriers to financing.

A one-year transition period precedes full implementation of the law in February 2027, giving market participants time to adapt their practices.
Asar Legal recommended that businesses map their assets, update contractual templates and establish registry registration workflows during this interval.
The firm indicated it can provide support on transaction structuring, registry management and enforcement actions under the legislation.

The reform reflects Bahrain’s broader push to strengthen its financial sector as part of the Vision 2030 economic diversification plan.
Comparable secured transactions modernisation has occurred across several GCC countries in recent years, contributing to more robust credit markets in the region.
Legal practitioners expect the new registry to generate valuable data on lending patterns once operational.
